1. Acceptance of Terms
By accessing and using SegmentOS ("the Service"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.
2. Service Description
SegmentOS is a Shopify application that helps merchants analyze customer behavior and manage segmentation tags. The Service provides:
- Deterministic customer segmentation based on commerce behavior
- Optional AI behavior insights customer tagging
- Tag synchronization to Shopify customer profiles
- Customer-level insights and activity tracking
- Audit logs for tag assignment changes
3. Eligibility
To use SegmentOS, you must:
- Have an active Shopify store
- Be at least 18 years of age
- Have the legal authority to enter into these Terms
- Comply with all applicable laws and regulations
4. Acceptable Use
4.1 Permitted Use
You may use SegmentOS to analyze customers and apply customer tags for lawful business purposes, including but not limited to:
- Audience segmentation and lifecycle marketing
- Retention and churn-prevention workflows
- Campaign targeting and personalization
- Operational reporting and customer analysis
- Automation flows based on segment tags
4.2 Prohibited Use
You agree NOT to use SegmentOS for:
- Processing data without a valid legal basis
- Attempting unauthorized access to merchants or customer data
- Interfering with queue processing, syncing, or app reliability
- Using the Service to violate privacy or consumer protection laws
- Uploading or transmitting malware or malicious code
- Engaging in fraudulent or deceptive practices
Violation of these terms may result in immediate suspension or termination of your account.
5. Payment and Billing
- Subscription fees are billed through Shopify's billing system
- Pricing is based on the plan selected (Free, Starter, Professional, Enterprise)
- Storage limits and features vary by plan
- Fees are non-refundable except as required by law
- Failure to pay may result in service suspension
You are responsible for all charges incurred under your account.
6. Data Processing and Usage Limits
- Usage limits may apply based on your subscription plan
- Feature availability may vary by plan and environment
- You are responsible for lawful use of customer data and tags
- Exceeding limits may delay sync or background processing
We reserve the right to suspend processing that violates these Terms or our Acceptable Use Policy.
7. Service Availability
We strive to provide reliable service but do not guarantee uninterrupted or error-free access. The Service is provided on an "as is" and "as available" basis.
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with reasonable notice.
8. Intellectual Property
8.1 Your Content
You retain all rights to your store data and business information. You grant us a limited license to process that data as necessary to provide the Service.
8.2 Our Intellectual Property
SegmentOS, including all software, designs, and trademarks, is owned by SegmentOS and protected by copyright and other intellectual property laws.
9. Data and Privacy
Your use of SegmentOS is also governed by our Privacy Policy. By using the Service, you consent to our data practices as described in the Privacy Policy.
10. Termination
10.1 Termination by You
You may terminate your use of SegmentOS at any time by uninstalling the app from your Shopify store.
10.2 Termination by Us
We may suspend or terminate your access to SegmentOS immediately if:
- You violate these Terms
- You fail to pay applicable fees
- Your use poses a security or legal risk
- We are required to do so by law
10.3 Effect of Termination
Upon termination, your data will be deleted within 48 hours in accordance with our Data Retention Policy. You are responsible for backing up your data before termination.
11. Limitation of Liability
To the maximum extent permitted by law, SegmentOS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.
Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless SegmentOS from any claims, damages, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Content you upload or distribute through the Service
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of NSW, Australia, without regard to its conflict of law principles.
Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in NSW, Australia.
14. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
